Any personal data, intellectual property, trade secret or any other information and document subject to legal protection or not, which the parties have learned or obtained about each other, their employees, customers, visitors through any electronic, written or verbal means for the purpose of the performance of this agreement, are considered “Confidential Information”. Confidential Information includes, but is not limited to, drawings, photographs, innovations, R studies, systems, fees, promotional ideas, processes, tests, formulas, methods and techniques, copyrights, trademarks, patents, industrial design, know-how, production, operation, programs, software, data, tariffs, products, marketing and advertising studies, judgment information, accounting records and information or financing, contracts, projects, works, business plans, policies and practices, biometric data, all kinds of official documents, employee records, customer portfolio and all kinds of information and documents related to them, all information disclosed during the negotiations, negotiations or meetings between the Parties and meeting notes, all kinds of documents, analyses, studies, proposals or other information submitted by the Parties to each other, information that has not been disclosed to the public regarding the assets or activities of the Parties and the works subject to the contract. <\/p>\n

Regarding the security of Confidential Information, the Parties accept, declare and undertake that they will take all reasonable security measures to prevent them from being learned, used, transferred or destroyed by unauthorized persons and not to cause any violation of rights. The Parties shall take the necessary measures to ensure that their employees comply with this confidentiality obligation. <\/p>\n

Non-confidential information, public information, information obtained from other sources and information used with the explicit consent of the other party or the person concerned are outside the scope of the confidentiality obligation.<\/p>\n

In case of violation of the confidentiality obligation for any reason, the Parties accept, declare and undertake to pay the negative, positive damages incurred\/to be incurred by the other party for this reason, if proven before the competent authorities.<\/p>\n

The Parties undertake that they will not employ the employees employed by the other Party during this Agreement and for a period of 2 years from the termination of the Agreement in the period after the start of their legal relations with each other pursuant to this Agreement or any other Agreement, and that they will not establish direct or indirect business relations with such personnel under the name of partnership, representation, management, consultancy, etc. In case of violation of the provisions of this article, the violating party accepts, declares and undertakes that the other party will be responsible for the loss of business and all other material and moral damages arising from this reason. <\/p>\n

The Parties undertake and guarantee that they will comply with all applicable laws, regulations and rules regarding the protection of personal data, including the Personal Data Protection Law No. 6698 (KVKK) and related statutes, regulations, communiqu\u00e9s and decisions, and that they will continue to comply even after the contract is terminated and will not cause them to be violated. Within the scope of this Agreement, the parties declare and undertake that the personal data of third parties, including their own employees, which they transfer to each other and\/or make available to each other, are obtained in accordance with the KVKK, that they process the personal data in question with the informed explicit consent of the persons or based on the existence of one of the cases of compliance with the law, and that they transfer it to the other party. The parties accept, declare and undertake that when they negligently, negligently or intentionally violate their commitments within the framework of their rights and obligations regarding the protection of personal data, they will immediately pay any damages incurred by the other party due to administrative and\/or criminal and\/or legal sanctions that the other party may be exposed to, upon first request and without the need for any legal proceedings. <\/p>\n
